Welcome to FusionFi Wallet!

These Terms of Use, together with any documents, policies, or terms incorporated by reference, including our Privacy Policy and Cookie Policy, hereinafter referred to as the “Terms,” govern your access to and use of the FusionFi Wallet services.

The services are provided through our website, mobile applications, application programming interfaces, technology platform, and related products or services, collectively referred to as the “Platform.” The Platform is operated and maintained by Astero Pay Limited, a company incorporated under the laws of Kenya, with its registered office at Wuyi Plaza, Galana Road, Kilimani, Nairobi, Kenya, operating as FusionFi, hereinafter referred to as “FusionFi,” “Astero Pay,” “we,” “us,” or “our.” For purposes of these Terms, “you,” “your,” “User,” or “Customer” refers to any person who accesses, registers for, or uses the Platform or Services.

1. This Agreement.

1.1 These Terms constitute a legally binding agreement between you and FusionFi. Please read them carefully before accessing or using the Platform or Services.

These Terms explain:

  • the services we provide;
  • your rights and obligations;
  • eligibility requirements;
  • payment, refund, and transaction rules;
  • acceptable and prohibited uses of the Platform;
  • privacy and data protection obligations;
  • complaint handling;
  • limitations of liability; and
  • the law governing these Terms.

1.2 By clicking “I agree,” creating an account, accessing the Platform, placing an order, or using any Service, you confirm that:

  • you have read, understood, and accepted these Terms;
  • you agree to be bound by these Terms;
  • you have read and understood our Privacy Policy;
  • you have the legal capacity to enter into a binding agreement; and
  • the information you provide to us is accurate, complete, and up to date.

If you do not understand any part of these Terms, you should contact us before using the Services.

If you do not agree to these Terms, you must not access or use the Platform or Services.

1.3 We recommend that you retain a copy of these Terms, the Privacy Policy, the Cookie Policy, transaction confirmations, receipts, and any notices relating to your use of the Services.

1.4 Cryptocurrencies, virtual assets, and related services may be restricted, prohibited, or subject to legal and regulatory requirements in some jurisdictions.

1.5 You are responsible for ensuring that your access to and use of the Services is lawful in your jurisdiction. You must not use the Platform or Services if doing so would violate any law, regulation, court order, sanctions requirement, or regulatory restriction applicable to you. We may revise, amend, or supplement these Terms from time to time to reflect changes in law, regulatory requirements, our Services, our business operations, technology, security requirements, or consumer protection obligations.

Where we make material changes to these Terms, we will take reasonable steps to notify you. This may include posting a notice on the Platform, sending an email, sending an in-app notification, or using another appropriate communication channel.

The updated Terms will take effect from the date stated in the revised version or from the date on which they are made available, unless otherwise specified.

If you do not agree to the updated Terms, you must stop using the Services. Where required by applicable law, we may seek your consent to specific changes.

Nothing in these Terms limits any mandatory rights you may have under applicable Kenyan consumer protection, data protection, or other laws.

2. Eligibility

2.1 To use the Services, you confirm that:

  • you are at least 18 years old;
  • you have the legal capacity to enter into binding contracts;
  • you are using the Services for yourself and not on behalf of a third party, unless we have expressly authorised such use;
  • you reside in a country or territory where the relevant Services are available;
  • your use of the Services does not violate any applicable law or regulation;
  • you are not subject to sanctions or other legal restrictions;
  • you are not resident in, incorporated in, or operating from a sanctioned or prohibited jurisdiction;
  • you are not prohibited from accessing or using the Platform under applicable law;
  • you will provide accurate, complete, and current information and documents when requested;
  • you will notify us promptly if any information you provided changes;
  • you will notify us if you are or become a politically exposed person, a family member of a politically exposed person, or a close associate of a politically exposed person;
  • you will comply with these Terms and all applicable Service-specific terms; and
  • you understand that we may suspend, restrict, or terminate your access to the Services where required by law, where you breach these Terms, or where suspicious, fraudulent, unlawful, or unauthorised activity is detected.

We may refuse to open an account, suspend an account, restrict access to Services, or close an account where we reasonably consider it necessary to comply with applicable law, regulatory obligations, AML/CFT requirements, sanctions requirements, fraud prevention obligations, security requirements, or these Terms.

3. Services Provided

3.1 FusionFi provides a financial technology platform that may allow eligible Customers to access certain services, including:

  • exchange of cryptocurrency or virtual assets for fiat currency;
  • transfer to bank accounts or mobile wallets;
  • purchase of gift cards, vouchers, airtime, data bundles, or other top-up products;
  • related account, wallet, payment, settlement, and transaction services; and
  • other services we may introduce from time to time.

The specific Services available to you may depend on your location, verification level, regulatory restrictions, transaction limits, payment method, third-party provider availability, and our internal risk assessment.

3.2 FusionFi is a financial technology platform. Unless expressly stated otherwise:

  • we are not a bank;
  • we do not provide investment advice;
  • we do not provide tax, legal, accounting, or financial planning advice;
  • we do not recommend that you buy, sell, hold, or exchange any virtual asset, gift card, voucher, or other product;
  • any information provided through the Platform is for general informational purposes only.

You are solely responsible for your decisions and should obtain independent professional advice where necessary.

3.3 Cryptocurrency risk You acknowledge that cryptocurrencies and virtual assets are highly volatile and may lose value rapidly. Prices may fluctuate due to market conditions, liquidity, regulatory developments, technology risks, network fees, blockchain congestion, or other factors outside our control.

You understand and accept that:

  • transactions involving cryptocurrency may be irreversible;
  • blockchain transactions may be delayed or fail;
  • network fees may change without notice;
  • exchange rates may fluctuate before a transaction is completed;
  • virtual assets may not be protected by deposit insurance or compensation schemes;
  • you may lose some or all value associated with a cryptocurrency transaction.

3.4 The availability of any Service depends on various factors, including:

  • applicable laws and regulations;
  • third-party payment processors;
  • banks and mobile money providers;
  • liquidity providers;
  • gift card and voucher issuers;
  • technology providers;
  • network availability;
  • blockchain confirmation times;
  • internal risk controls;
  • customer verification status.

We may add, modify, suspend, restrict, or discontinue any Service or payment method where reasonably necessary. Where practicable and lawful, we will provide notice of material changes that affect your use of the Services.

4. Transfers to Bank Accounts and Mobile Money Accounts

Where you request a transfer to a bank account or mobile money account, you represent and warrant that:

  • the bank account or mobile wallet belongs to you;
  • the account or wallet is not held in the name of a third party;
  • the name on the bank account or mobile wallet matches the name provided in your KYC documents;
  • the bank account or mobile wallet details you provide are accurate and complete;
  • the transaction is lawful and for a legitimate purpose.

If you provide incorrect, incomplete, false, or third-party account information, the transaction may be delayed, rejected, returned, or lost. You may be responsible for any fees, charges, losses, or costs arising from incorrect information supplied by you, except where such loss is caused by our fraud, wilful misconduct, gross negligence, or breach of applicable law.

Bank transfers and mobile wallet transfers may be affected by:

  • bank or mobile money provider operating hours;
  • public holidays;
  • transaction limits;
  • compliance reviews;
  • regulatory restrictions;
  • network or technical delays;
  • intermediary or recipient institution rules.

Transfers are generally processed within the timeframes displayed on the Platform or otherwise communicated to you. However, processing times may vary depending on the factors above.

Your use of Services is monitored for fraud prevention, consumer protection, AML/CFT compliance, sanctions screening, platform security, and regulatory compliance. Suspicious or unlawful activity may be reported to competent authorities where required or permitted by law.

5. Payments

5.1 The proper functioning of FusionFi depends on its interaction with several third-party providers. In Kenya, these third-party providers include our appointed Payment Service Provider (PSP), Mamlaka Hub and Spoke Limited, and our licensed commercial bank, Credit Bank Limited, both of which are jointly involved in processing transactions and holding, settling, and safeguarding customer funds in connection with your use of the Services.

Such providers may have their own terms, conditions, fees, processing times, and privacy practices. By using a third-party payment method, you agree to comply with the applicable third-party provider’s terms. We are not responsible for delays, failures, or losses caused by third-party payment providers, except to the extent required by applicable law or where the issue arises from our own fraud, wilful misconduct, gross negligence, or breach of these Terms.

5.2 Before confirming a transaction, the Platform may display applicable charges, exchange rates, network fees, service fees, or other costs. You are responsible for reviewing all transaction details before confirming payment. Cryptocurrency transactions may be subject to blockchain network fees, miner fees, gas fees, and confirmation delays.

These fees are outside our control and may not be refundable.

5.3 If you underpay for a Product or Service, we may:

  • request that you pay the outstanding amount;
  • cancel the order and refund the amount received, less applicable transaction costs where permitted by law; or
  • take such other action as is reasonable in the circumstances.

If you overpay, we may refund the excess amount after deducting applicable transaction costs, where permitted by law and technically possible. We may require customer verification before processing any exceptional refund or payment correction.

6. Customer Verification and Account Levels

6.1 Some Customers may access limited Services by providing basic contact information, such as an email address or phone number, for Product delivery and transaction communication.

6.2 Certain Services, including transfers to bank accounts or mobile wallets, higher transaction limits, or other regulated Services, may require identity verification.

Verification may require you to provide:

  • full legal name;
  • date of birth;
  • nationality;
  • residential address;
  • email address;
  • phone number;
  • government-issued identification document;
  • proof of address;
  • photograph, selfie, or liveness check;
  • source of funds or source of wealth information;
  • bank or mobile wallet information;
  • beneficial ownership information, where applicable;
  • any other information required for compliance purposes.

We may use third-party verification providers to assist with KYC, KYB, AML, sanctions, fraud prevention, and compliance checks.

7. Third-Party Services and Providers

7.1 The proper functioning of the Platform may depend on third-party service providers, including:

  • banks, including Credit Bank Limited - commercial bank licensed by Central bank of Kenya;
  • mobile money providers;
  • payment processors, including our appointed Payment Service Provider (PSP) in Kenya, Mamlaka Hub and Spoke Limited;
  • liquidity providers;
  • blockchain networks;
  • gift card and voucher issuers;
  • identity verification providers;
  • AML and sanctions screening providers;
  • cloud hosting and technology providers.

In Kenya, Credit Bank Limited (our Licensed Commercial Bank) and Mamlaka Hub and Spoke Limited (our appointed Payment Service Provider (PSP)) are jointly involved in processing transactions and holding, settling, and safeguarding customer funds.

Transactions may fail, be delayed, or be reversed due to technical, operational, legal, regulatory, or compliance reasons involving such third parties.

7.2 Third-party services may be subject to separate terms and privacy policies. You should review those terms before using any related service.

We are not responsible for the acts, omissions, terms, policies, delays, errors, or failures of independent third parties, except where required by applicable law or where we are legally responsible for their acts.

7.3 We may share information, including KYC documents and transaction information, with third-party service providers where necessary to:

  • provide the Services;
  • process transactions;
  • verify your identity;
  • comply with AML/CFT requirements;
  • conduct sanctions screening;
  • prevent fraud;
  • comply with legal or regulatory obligations;
  • improve the Platform;
  • protect our rights and users.

Personal data will be processed in accordance with our Privacy Policy and applicable Kenyan data protection law.

7.4 To the extent necessary to provide the Services, and subject to applicable law, you authorise us to act as your limited agent solely for the purpose of facilitating transactions you request through the Platform. This may include receiving, holding, transferring, converting, or disbursing fiat currency or cryptocurrency on your behalf through our Service Providers. This authority is limited to what is reasonably necessary to provide the Services and does not create a broader agency, fiduciary, trustee, advisory, or partnership relationship.

8. Transaction Limits and Use Restrictions

8.1 We may impose transaction limits, account limits, Product limits, velocity limits, geographic limits, or other restrictions based on:

  • account verification level;
  • Product type;
  • payment method;
  • applicable law;
  • AML/CFT requirements;
  • sanctions risk;
  • fraud risk;
  • issuer requirements;
  • internal risk controls.

Limits may be changed from time to time without prior notice where required for compliance, security, fraud prevention, or risk management reasons.

8.2 You must not attempt to avoid or circumvent limits by:

  • creating multiple accounts;
  • using another person’s account;
  • splitting transactions;
  • providing false information;
  • using third-party payment methods without authorisation;
  • disguising your identity or location;
  • using VPNs or technical tools to bypass geographic restrictions;
  • engaging in any other deceptive or manipulative conduct.

Any such conduct may result in suspension, restriction, termination, reporting to competent authorities, or refusal of transactions.

9. Refunds, Cancellations, and Consumer Rights

9.1 Nothing in these Terms limits or excludes any rights you may have under applicable Kenyan consumer protection law, including rights relating to fair dealing, accurate information, defective services, misleading representations, unfair terms, or remedies available under law.

9.2 Due to the nature of digital Products, once a Product has been delivered, displayed, redeemed, used, or unsealed, it is generally non-refundable, except where:

  • the Product is invalid;
  • the Product had already been redeemed before delivery to you;
  • the Product was not delivered due to our error or a confirmed third-party failure;
  • the Product materially differs from the description displayed at checkout;
  • applicable law requires a refund or other remedy.

9.3 You may qualify for a refund where:

  • you paid but did not receive the Product;
  • the Product was received but cannot be redeemed because it was already redeemed before delivery;
  • the Product was received but is invalid;
  • a confirmed technical error prevented delivery;
  • we are unable to complete the transaction after receiving payment.

9.4 If you believe you qualify for a refund, you must contact us at info@fusionfi.io and provide:

  • transaction ID;
  • date and time of transaction;
  • payment details;
  • Product details;
  • description of the issue;
  • screenshots or evidence, where applicable.

We may need to investigate with third-party providers before confirming a refund.

9.5 Refund requests should be submitted within 30 days from the transaction date. After 30 days, refund eligibility may depend on the circumstances, third-party provider rules, technical feasibility, and applicable law. We will process valid refund requests within a reasonable time after verification and completion of any required investigation.

9.6 Where possible, refunds will be made using the same payment method used for the original transaction.

For cryptocurrency payments, refunds may be made:

  • in the same cryptocurrency;
  • to the same wallet address;
  • less applicable network fees or transaction costs, where permitted by law.

We may refuse or delay a refund where:

  • we suspect fraud, money laundering, sanctions evasion, or unlawful activity;
  • required verification has not been completed;
  • the refund would violate applicable law;
  • the refund cannot be technically or commercially processed;
  • the costs of processing the refund exceed the refundable amount, where permitted by law.

9.7 Unless required by law, we may not provide refunds where the issue results from:

  • incorrect phone number;
  • incorrect email address;
  • incorrect country selection;
  • incorrect network operator;
  • incorrect wallet address;
  • purchase of a Product not usable in your country;
  • failure to read Product terms;
  • circumvention of geographic restrictions;
  • use of a Product after delivery;
  • resale or attempted resale contrary to these Terms.
  • Product Disclaimers

FusionFi may act as a reseller or facilitator of Products issued by third-party Issuers. Unless expressly stated otherwise:

  • we are not the creator, issuer, sponsor, operator, manager, or beneficiary of the Product;
  • we do not control the Issuer’s terms and conditions;
  • we do not control the Issuer’s redemption process;
  • the Product may be subject to separate Issuer terms;
  • the Issuer may impose country, currency, value, expiry, redemption, or usage restrictions.

You are responsible for reviewing the Product description, Issuer terms, redemption rules, and any restrictions before purchase. We will use reasonable care to display accurate Product information. However, where Product information is supplied by third parties, we are not responsible for inaccuracies unless required by law or where we knew or ought reasonably to have known of the inaccuracy. Nothing in this section limits your rights under applicable consumer protection law.

11. Customer Responsibilities

You are responsible for:

  • providing accurate, complete, and current information;
  • checking all transaction details before confirming payment;
  • selecting the correct Product, country, currency, amount, mobile network, phone number, email address, bank account, mobile wallet, or wallet address;
  • complying with applicable laws;
  • complying with Issuer terms;
  • maintaining the confidentiality of your login credentials;
  • protecting your devices and accounts;
  • promptly notifying us of unauthorised access or suspicious activity;
  • ensuring that your use of the Services is lawful and legitimate.

You are responsible for losses arising from incorrect information provided by you, unauthorised use caused by your failure to protect your account credentials, or breach of these Terms, except to the extent caused by our fraud, wilful misconduct, gross negligence, breach of law, or breach of these Terms.

Each Customer must maintain unique login credentials. You must not share your account, password, authentication code, or login credentials with any other person.

12. Prohibited and Unlawful Use

You must not use the Platform or Services:

  • for unlawful purposes;
  • to commit fraud;
  • to launder money;
  • to finance terrorism;
  • to evade sanctions;
  • to conceal or disguise the source of funds;
  • to impersonate another person;
  • to purchase Products for unauthorised resale;
  • to violate third-party rights;
  • to circumvent geographic, Product, transaction, or account restrictions;
  • to interfere with Platform security;
  • to introduce malware, viruses, worms, trojans, or harmful code;
  • to scrape, crawl, spider, or use automated tools without permission;
  • to overload or disrupt our infrastructure;
  • to gain unauthorised access to systems, accounts, data, or networks;
  • to submit false or misleading information;
  • to engage in abusive, threatening, or harmful behaviour towards our staff or service providers.

Where we reasonably suspect prohibited or unlawful use, we may:

  • reject a transaction;
  • delay processing;
  • request additional information;
  • suspend your account;
  • restrict access to Services;
  • freeze balances where legally permitted or required;
  • close your account;
  • report activity to competent authorities;
  • retain records as required by law.

We may be legally prohibited from informing you about certain investigations, disclosures, reports, or restrictions.

13. AML, CFT, Sanctions, and Fraud Prevention

13.1 We are required to comply with applicable anti-money laundering, counter-terrorist financing, sanctions, fraud prevention, tax, financial services, and regulatory obligations.

These obligations may include:

  • customer due diligence;
  • enhanced due diligence;
  • identity verification;
  • beneficial ownership verification;
  • sanctions screening;
  • politically exposed person screening;
  • adverse media screening;
  • transaction monitoring;
  • suspicious transaction reporting;
  • record keeping;
  • ongoing monitoring.

13.2 We may request information and documents including:

  • full name;
  • date of birth;
  • nationality;
  • country of residence;
  • residential address;
  • phone number;
  • email address;
  • government-issued ID;
  • proof of address;
  • bank account or mobile wallet information;
  • selfie, photograph, or liveness video;
  • source of funds;
  • purpose of transaction;
  • source of wealth;
  • business information, where applicable;
  • beneficial ownership information, where applicable.

13.3 Third-party checks You authorise us to use your information and documents to make enquiries with third-party providers for identity verification, fraud prevention, AML/CFT compliance, sanctions screening, and risk assessment.

You acknowledge that we may share your information and documents with such providers and competent authorities where required or permitted by law.

13.4 Refusal or suspension We may refuse, delay, suspend, restrict, or terminate Services if:

  • you fail to provide requested information;
  • verification cannot be completed;
  • information provided is false, incomplete, or misleading;
  • we suspect unlawful activity;
  • required by law or a competent authority;
  • necessary for risk management or security reasons.

You agree to cooperate with reasonable requests made for compliance purposes.

14. Resale

Unless we expressly agree in writing, Products purchased through the Platform are intended for personal use or gifting only and must not be resold.

If we suspect that you are purchasing Products for resale, we may require you to verify as a corporate or business customer. We may also suspend, restrict, or terminate your account where resale activity violates these Terms, Product terms, Issuer restrictions, or applicable law.

15. Personal Data Protection and Privacy

We take the privacy and protection of Personal Information seriously. Our collection, use, storage, disclosure, transfer, and other processing of Personal Information is described in our Privacy Policy. By using the Platform, you acknowledge that you have read and understood our Privacy Policy. Where consent is required for a specific processing activity, we or the relevant data controller will request such consent separately.

Where FusionFi processes Personal Information on behalf of a relevant data controller, FusionFi acts as a data processor and processes such Personal Information in accordance with applicable data protection law, lawful instructions, and any applicable data processing agreement.

Where we process Personal Information for compliance, security, fraud prevention, AML/CFT, sanctions, legal claims, or regulatory purposes, such processing will be carried out in accordance with applicable law.

You must not use the Platform if you do not agree with the Privacy Policy.

16. Limitation of Liability

16.1 To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special, consequential, punitive, or exemplary losses, including loss of profit, loss of business, loss of goodwill, loss of data, loss of opportunity, or loss arising from cryptocurrency volatility.

16.2 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Kenyan law, including liability arising from fraud, wilful misconduct, gross negligence, or any mandatory consumer protection obligation.

16.3 We use reasonable efforts to provide accurate and up-to-date information on the Platform.

However, information may be supplied by third parties and may change without notice.bYou should independently verify information before making decisions.

16.4 We implement reasonable technical and organisational measures to protect the Platform.

However, we do not guarantee that the Platform will be free from viruses, malware, cyberattacks, outages, or unauthorised access.

You are responsible for maintaining appropriate device security, including updated software, secure passwords, and protection against malware.

16.5 The Platform may include links to third-party websites, applications, platforms, content, or services. We do not control third-party websites and are not responsible for their content, availability, security, accuracy, policies, or practices. Your access to third-party websites or services is at your own risk and may be subject to separate terms and privacy policies.

18. Referral Websites and Referrers

Referrers may direct, refer, or introduce you to FusionFi or the Platform.

Referral websites, influencers, affiliates, agents, or introducers may have their own terms, content, and privacy practices.

Unless we expressly state otherwise:

  • we are not responsible for referral website content;
  • we do not guarantee claims made by Referrers;
  • we are not responsible for products or services offered by Referrers;
  • access to referral websites is at your own risk.

Subject to applicable law, we may pay or receive commissions, referral fees, or other benefits in connection with referrals. Where required by law, such commercial relationships will be disclosed.

17. Intellectual Property

All rights, title, and interest in the Platform, including software, technology, designs, text, images, graphics, logos, trademarks, trade names, service marks, content, layout, features, and functionality belong to FusionFi, Astero Pay, our affiliates, licensors, or lawful third- party owners.

You must not:

  • copy, reproduce, distribute, modify, adapt, translate, reverse engineer, decompile, or exploit any part of the Platform;
  • remove or alter any copyright, trademark, or proprietary notices;
  • use our brand, logo, or trademarks without written permission;
  • misrepresent any relationship with us;
  • use the Platform content for commercial purposes without authorisation.

Third-party trademarks, logos, and Product identifiers displayed on the Platform belong to their respective owners and are used only to identify Products, Issuers, or service providers.

Nothing in these Terms grants you ownership of or a licence to use our intellectual property except as necessary to access and use the Platform in accordance with these Terms.

18. Customer Support and Complaints

If you have questions, complaints, or support requests, you may contact us via email at info@fusionfi.io We aim to respond to customer support enquiries within 24 hours, but response times may vary depending on the nature of the issue, transaction complexity, third-party involvement, compliance review, or volume of requests. For complaints, please include:

  • your name;
  • account email or phone number;
  • transaction reference;
  • description of the complaint;
  • supporting evidence;
  • preferred resolution.

We will handle complaints fairly, transparently, and within a reasonable time, taking into account applicable consumer protection obligations.

19. Suspension, Restriction, and Termination

We may suspend, restrict, or terminate your access to the Platform or Services where:

  • you breach these Terms;
  • you provide false or misleading information;
  • you fail to complete verification;
  • we suspect fraud, money laundering, terrorist financing, sanctions evasion, or unlawful activity;
  • required by law, regulation, court order, regulator, law enforcement, or competent authority;
  • necessary to protect the Platform, other users, third parties, or our business;
  • you misuse the Platform;
  • you are no longer eligible to use the Services;
  • we discontinue a Service.

Where practicable and lawful, we will provide notice of suspension, restriction, or termination. However, we may be legally prohibited from providing notice in certain circumstances.

Termination does not affect rights or obligations that accrued before termination, including payment obligations, refund rights, compliance obligations, recordkeeping obligations, intellectual property rights, and limitation of liability provisions.

20. Force Majeure

We will not be liable for any delay, failure, or inability to perform our obligations where caused by events beyond our reasonable control, including:

  • natural disasters;
  • acts of God;
  • war, terrorism, civil unrest, or riots;
  • government action;
  • regulatory changes;
  • internet, telecommunications, or power failures;
  • blockchain network congestion or failure;
  • cyberattacks;
  • strikes or labour disputes;
  • third-party provider outages;
  • bank, mobile money, or payment processor failures;
  • pandemics or public health emergencies.
